This Affiliate Agreement (“Agreement”) is entered into by and between BetterLytix Tech LLC, Hamilton Development, Unit B, Charlestown, Nevis (“BetterLytix,” “we,” “us,” “our”), and the individual or entity registering as an Affiliate (“Affiliate,” “you,” “your”).

By joining the BetterLytix Affiliate Program, accessing the Platform, promoting BetterLytix services, or earning commissions, you confirm that you have read, understood, and accepted this Agreement, as well as:

• the BetterLytix Terms & Conditions,
• the Privacy & Cookies Policy,
• the Tax Declaration,
• the Risk Disclaimer.

These documents collectively form a binding contract.

1. Definitions

1.1 Affiliate – Any individual or legal entity participating in the BetterLytix referral/commission program.
1.2 Platform – All BetterLytix websites, dashboards, systems, communication channels (including Telegram), and the Insight Engine & Academy.
1.3 Services – All digital analytics and education products offered by BetterLytix.
1.4 Referral Link – Your unique tracking link for acquiring new customers.
1.5 Commission – Earnings generated according to the Commission Policy.
1.6 Customer / Member – A natural person or entity purchasing BetterLytix services.
1.7 Payout Currency – USDT (TRC20/ERC20), unless otherwise specified.

2. Eligibility

2.1 You must be at least 18 years old and legally competent in your jurisdiction.
2.2 You must comply with all applicable local laws regarding referral marketing and taxation.
2.3 BetterLytix may deny or revoke Affiliate access at its sole discretion for compliance, risk, or operational reasons.

3. Registration & Activation

3.1 To become an Affiliate, you must create an Affiliate Account on the Platform.
3.2 Upon registration, you will receive a unique Referral Link.
3.3 Only referrals using your tracking link qualify for commissions. No manual linking is accepted.
3.4 BetterLytix may request identity verification for fraud prevention or compliance.

4. Affiliate Compensation & Commission Structure

4.1 Commissions are governed by the BetterLytix Commission Policy, which forms part of this Agreement.
4.2 BetterLytix offers a tiered or direct referral structure (depending on the current Compensation Plan).
4.3 Commissions are paid in USDT (TRC20 unless otherwise specified).
4.4 Affiliates are fully responsible for:

• providing correct payout details,
• covering any blockchain/network fees,
• ensuring receipt addresses are under their control.

4.5 BetterLytix does not guarantee:

• earnings,
• sales numbers,
• customer conversions,
• number of referrals,
• continuity of any bonus system.

4.6 Commissions may be withheld during review in cases of:

• fraud suspicion,
• chargebacks,
• payment disputes,
• abuse of program rules.

5. Restrictions & Prohibited Conduct

Affiliates must NOT:

5.1 Make any claims regarding:

• income guarantees,
• profit outcomes,
• “safe returns”,
• financial performance,
• betting, gambling, or investment success.

5.2 Misrepresent BetterLytix services in any way.
5.3 Present BetterLytix as a financial, investment, trading, or gambling service.
5.4 Use aggressive, unethical, or misleading marketing.
5.5 Use the BetterLytix brand in:

• paid ads,
• domain names,
• duplicated websites,
• fake pages or impersonations
  without written approval.

5.6 Promote to restricted jurisdictions (OFAC, UN, EU sanctions lists).
5.7 Create fraudulent accounts, fake referrals, or manipulate tracking.

Violation results in immediate termination and loss of all unpaid commissions.

6. Marketing Rules

Affiliates must adhere to:

6.1 Using only official materials provided by BetterLytix.
6.2 Adding required disclaimers when describing analytics or data.
6.3 Ensuring that all messaging is:

• factual,
• compliant,
• transparent,
• not misleading.

6.4 Prohibited statements include but are not limited to:

• “Guaranteed returns”
• “Fixed income”
• “Risk-free profits”
• “Predictive betting signals”
• “Guaranteed win rate”
• “BetterLytix replaces professional advice”

BetterLytix may require immediate removal of any non-compliant content.

7. Intellectual Property Rights

7.1 All BetterLytix logos, systems, dashboards, analytics, educational content, branding, and materials remain the exclusive property of BetterLytix Tech LLC.
7.2 Affiliates receive a non-exclusive, revocable license to use approved marketing materials.
7.3 Unauthorized use or modification of proprietary content is prohibited.
7.4 Upon termination, all IP usage must cease immediately.

8. Payments & Withdrawals

8.1 Commissions are paid out according to:

• the Commission Policy,
• active qualification requirements,
• completed customer payments,
• fraud screening.

8.2 Payouts may take up to 72 business hours after request.
8.3 Minimum withdrawal amounts may apply.
8.4 BetterLytix is not responsible for delayed blockchain confirmations.
8.5 Chargebacks or refunds result in commission cancellation.

9. Taxes

9.1 Affiliates are solely responsible for declaring and paying taxes on any income earned.
9.2 BetterLytix does not:

• withhold taxes,
• issue tax certificates,
• report Affiliate earnings

9.3 Affiliates must review the BetterLytix Tax Declaration for further details.

10. Termination & Suspension

BetterLytix may suspend or terminate an Affiliate with immediate effect if:

• Terms were violated,
• Misleading or illegal promotion occurred,
• Fraud or abuse is suspected,
• Platform security is at risk,
• Compliance requires removal.

Upon termination:

• all pending commissions may be forfeited,
• Affiliate access to the system is revoked,
• all BetterLytix materials must be removed.

Affiliates may terminate their participation at any time via written notice.

11. Confidentiality

11.1 Affiliates must keep confidential all non-public information provided by BetterLytix.
11.2 Confidentiality obligations survive termination.

12. Liability & Indemnification

12.1 BetterLytix is not liable for:

• revenue loss,
• indirect damages,
• technology outages,
• blockchain issues,
• third-party failures,
• Affiliate advertising or statements.

12.2 Affiliate agrees to indemnify BetterLytix for damages arising from:

• misleading marketing,
• illegal actions,
• Terms violations,
• user disputes caused by false claims.

13. Dispute Resolution

13.1 Parties first attempt amicable resolution.
13.2 Unresolved disputes shall be settled by binding arbitration in Nevis.
13.3 If arbitration is not possible under mandatory law, Nevis courts have exclusive jurisdiction.

14. Governing Law

This Agreement is governed solely by the laws of Nevis.

15. Modifications

BetterLytix may update this Agreement at any time.
Continued participation constitutes acceptance of the updated terms.

16. Entire Agreement

This Agreement, together with referenced policies, constitutes the complete understanding between the parties.

17. Final Acknowledgment

By participating in the BetterLytix Affiliate Program, you confirm that you:

• understand all terms,
• accept all conditions,
• agree to comply fully,
• acknowledge independent contractor status,
• have not been promised specific income,
• will follow all compliance and marketing rules.

18. Cross-Document Acceptance

By accessing or using any BetterLytix Tech LLC service, you confirm that you:

1. have read, understood, and accepted this document in full,
2. acknowledge that this document operates together with all other legal documents published by BetterLytix Tech LLC, including but not limited to:
   • Terms & Conditions
   • Privacy & Cookies Policy
   • Data Processing Agreement (DPA)
   • Refund & Cancellation Policy
   • Acceptable Use Policy (AUP)
   • Risk Disclaimer
   • Affiliate Agreement
   • Tax Declaration
   • AML & CFT Compliance Statement
   • Compliance Statement
   • Terms of Access for Telegram
   • Cookie & Tracking Declaration
   • any additional legal documents, policies, guidelines, or statements that may be introduced in the future.

3. agree that each of these documents complements and reinforces the others as part of a unified legal framework,
4. acknowledge that all current and future BetterLytix legal documents are binding upon publication,
5. accept that updates or additions to any legal document apply automatically to your continued use of the platform,
6. agree that hyperlinks to such documents constitute valid and enforceable legal notice,
7. understand that using the platform requires full acceptance of ALL current and future linked policies without exception,
8. accept that any breach of any individual document may result in suspension, restriction, or termination of access,
9. agree that the governing law for all documents is St. Kitts & Nevis,
10. confirm that BetterLytix Tech LLC may modify, expand, or update these legal documents at any time,
11. agree that continued use after any modification constitutes automatic acceptance,
12. acknowledge that all cross-linked documents form the complete, binding legal agreement between you and BetterLytix Tech LLC.
